The composition of the General Assembly

· The composition of the General Assembly:

The General Assembly is the highest organization of the APAFP, and the General Assembly shall have one President, Vice-Presidents, committees and one General Secretary. The total number of members in the General Assembly shall be an odd number. The President can appoint advisors and honorary members in order to honor their academic achievements, but they shall not participate in the operation of the APAFP.

· The operation of the General Assembly:
The General Assembly shall convene at least one meeting per year, convened by the Board of Directors, and presided over by the President. The APAFP shall send the meeting notice to all organization members. The meeting notice shall indicate the date, time, place, and agenda of the meeting.

· The General Assembly shall:

a) Elect and dismiss members of the organization;

b) Resolve to amend the Constitution;

c) Deliberate and approve work reports and financial reports of the Board of Directors, and the Board of Supervisors;

d) Adopt the annual budget, and

e) Make director or guideline for the APAFP.

· Valid meeting:
A meeting, which is held for the first time, shall be held with the attendance of half or more of the members.

· Three-fourth of the approval votes of all members are required.

 

Article 4: Board of Directors

· The composition of the Board of Directors:
The Board of Directors is the administration of APAFP and is responsible for the implementation of the resolutions of the General Assembly, and the management of the routine affairs, with officers and several directors. The total number of members of the Board of Directors must be an odd number.

· The operation of the Board of Directors:

a) The Board of Directors shall hold a meeting at a minimum of twice per year and may hold a special meeting when convened by a majority of the members of the Board of Directors.

b) Matters may be decided only at meetings where more than half of the Board of Directors are present.

c) The resolution is determined by a majority of the votes of the Board of Directors.

· The Board of Directors shall:

d) Implement the resolutions of the General Assembly;

e) Be responsible for the administration and planning of APAFP;

f) Submit management reports and make recommendations to the General Assembly, and

g) Convene a general meeting of members in accordance with the constitution.
